NOTIFICATION OF CHANGES TO THE BOARD OF DIRECTORS AND THE DEBT OFFICER
In accordance with paragraph 6.39 of the JSE Limited (“JSE”) Debt Listings Requirements (the
“Requirements”), the Issuer hereby advises noteholders of the following changes to the board of
directors (the “Board”):
• Mr S. Kato has resigned as a non-executive director from the Board, with effect from 22
September 2021 and Mr D. F. Gillies has been appointed as a non-executive director to
the Board, with effect from 22 September 2021. These board changes were due to the
request of one of the shareholders to change its representative on the Board; and
• Mr N. Daya has resigned as the executive financial director (with the title of Vice
President) from the Board and as a member of the Social and Ethics Committee, with
effect from 22 September 2021 and Mr S. Ingersent was appointed as the executive
financial director (with the title of Senior Vice President) and as a member of the Social
and Ethics Committee, with effect from 22 September 2021. These board changes were
as a result of changes in the Issuer’s business structure.
The Issuer confirms that the appointments of Mr. Gillies and Mr. Ingersent were done in accordance
with the Issuer’s nomination policy.
Pursuant to paragraphs 6.39 and 6.81 of the Requirements, noteholders are further advised that Mr.
N. Daya has resigned as the Debt Officer of the Issuer with effect from 22 September 2021. The Issuer
confirms that Mr. S. Ingersent has been appointed as the Debt Officer with effect from 22 September
2021. The change to the Debt Officer was as a result of changes in the Issuer’s business structure.
