NOTICE TO SHAREHOLDERS OF ENX IN TERMS OF SECTION 45(5) OF THE
COMPANIES ACT, 71 OF 2008 (“THE COMPANIES ACT”)

Notice is hereby given as required in terms of Section 45(5) of the Companies Act that
pursuant to the authority granted to the board of enX by its shareholders at the annual general
meeting of shareholders held on 12 February 2020, the board of enX has adopted a
resolutions to continue to provide direct or indirect financial assistance (including by way of
loans and guarantees) to related or inter-related entities in the ordinary course of business, as
contemplated in section 45 (2) and furthermore in terms of section 45 (3) of the Companies
Act. The forms of this financial assistance are pledges of ordinary shares held by the Company
to providers of credit facilities and transferring certain liabilities amongst the Company and its
subsidiaries. This announcement serves as compliance with section 45(5) of the Companies
Act.
