RESULTS OF DIVIDEND RE-INVESTMENT ALTERNATIVE
Shareholders are referred to the announcements released on the Stock Exchange News Service ("SENS") on
Monday, 5 October 2020 and Tuesday, 24 November 2020 relating to the declaration of the cash dividend for
the twelve-month period ended 30 June 2020 of 40 cents (“Cash Dividend”) per Growthpoint share and the
finalisation of the dividend re-investment alternative (“Share Alternative”), respectively.
Shareholders holding 1,461,416,538 Growthpoint shares or 43.23% of Growthpoint’s issued shares qualifying
to receive the dividend elected the Share Alternative, resulting in the issue of 49,957,351 new ordinary shares
of no par value and the retention of R577.0 million (based on the discounted issue price of R11.55 for the
new shares) of new equity for Growthpoint. Accordingly, a Cash Dividend of R767.8 million is payable today
in respect of 1,919,413,177 Growthpoint shares.
Dividend payments in respect of certificated shareholders who elected to receive the Cash Dividend are being
processed today and share certificates in respect of certificated shareholders who elected the Share
Alternative will be posted on Wednesday, 9 December 2020 to such certificated shareholders at their risk.
The Central Securities Depository Participants (“CSDP”) or broker custody accounts in respect of
dematerialised shareholders who elected to receive the Cash Dividend will be credited today and the CSDP
or broker custody accounts in respect of dematerialised shareholders who elected the Share Alternative will
be credited with their new shares on Wednesday, 9 December 2020 in line with the settlement dates as
indicated in the aforementioned SENS announcements.
