CONCLUSION OF AGREEMENT RE SHARE PURCHASE BETWEEN I A
BELL & COMPANY (PTY) LTD (“I A BELL”) AND JOHN DEERE
CONSTRUCTION & FORESTRY COMPANY (“JOHN DEERE”) AND
WITHDRAWAL OF CAUTIONARY ANNNOUNCEMENT

Shareholders are referred to the renewal of the cautionary
announcement released on SENS on 19 October 2020 relating to the
notification of a non-binding memorandum of understanding signed by I
A Bell, a 38.7% shareholder in the Company, and John Deere, a 31,37%
shareholder in the Company, in respect of a possible purchase of John
Deere’s shareholding in the Company by I A Bell.

The Board of the Company has been informed that a formal binding
agreement for the acquisition by I A Bell of John Deere’s shareholding
in the Company has now been concluded subject to certain conditions
precedent.

Accordingly the cautionary announcement is hereby withdrawn, and thus
shareholders are no longer required to exercise caution based on the
cautionary announcement, when dealing in the Company’s securities.
