STATEMENTS AND NOTIFICATION OF THE APPOINTMENT OF A DEBT OFFICER

SUBSIDIARY GUARANTOR AND UPDATE ON THE AVAILABILITY OF THE SUBSIDIARY GUARANTOR’S ANNUAL
FINANCIAL STATEMENTS

Noteholders are advised that Freestone Property Investments (Proprietary) Limited (“Subsidiary Guarantor”) is a
subsidiary guarantor, as defined in the Secured Notes Terms and Conditions, pursuant to the Subsidiary Guarantee
dated and effective 14 August 2015 and as amended on 31 January 2017.

Noteholders are further referred to the third market notice issued on 7 July 2020 by the Financial Services Conduct
Authority (“FSCA”), wherein, as a result of the COVID-19 pandemic and resultant nationwide lockdown, the FSCA
granted companies with debt listed on the Interest Rate Market of the JSE Limited (the “Interest Rate Market”) and
who have financial year ends of 31 May 2020, 30 June 2020 and 31 July 2020, an extension of two months by which to
comply with the various reporting timeframes as provided for in the Debt Listings Requirements (the “FSCA
Extension”).

The JSE Debt Listings Requirements requires that the audited annual financial statements of the subsidiary guarantor
to the notes listed on the Interest Rate Market be available at the registered office of the Issuer and a notice of
availability announcement be released within four months after the Subsidiary Guarantor’s financial year end.

Due to the constraints placed on the audit of the group’s financial statements during the various lockdown levels and
the Issuer’s focus on releasing the group’s consolidated financial results within the required time period, there has
been insufficient time to publish the annual financial statements of the Subsidiary Guarantor. Noteholders are
therefore advised that the Issuer will be relying on the FSCA Extension for the publication and availability of the
Subsidiary Guarantor’s audited annual financial statements for the year ended 30 June 2020.

Accordingly, Emira expects to make the Subsidiary Guarantor’s audited annual financial statements for the year ended
30 June 2020 available at the registered office of the Issuer on or before 30 November 2020 but in any event by no
later than 31 December 2020.


NOTIFICATION OF THE APPOINTMENT OF A DEBT OFFICER

Pursuant to paragraphs 6.39(a) and 7.3(g) of the JSE Limited Debt Listings Requirements (the Requirements),
noteholders are hereby advised that Greg Booyens has been appointed as the Debt Officer of the Issuer with
immediate effect.

The board of the Issuer will consider and satisfy itself with the competence, qualifications and experience of the Debt
Officer at the board meeting to be held on 12 November 2020.
