RENEWAL OF THE CAUTIONARY ANNOUNCEMENT RELATING TO A NON-BINDING EXPRESSION OF INTEREST


Shareholders are referred to the SENS announcement dated 25 May 2020 advising that Unicorn had received a non-
binding expression of interest (“Non-Binding Expression of Interest”) from Afrimat Limited (“Afrimat”) in respect of
a possible transaction to acquire the entire issued ordinary share capital of Unicorn not already held by Afrimat or
any of Unicorn’s subsidiaries, by way of a scheme of arrangement in terms of section 114 of the Companies Act, 71
of 2008 (“Potential Transaction”).

The board of directors of the Company remains in discussions with Afrimat in connection with the Non-Binding
Expression of Interest.

If implemented, the Potential Transaction may have a material effect on the price of the Company’s securities and
shareholders are accordingly advised to continue to exercise caution when dealing in their Unicorn shares pending
further announcements.
