Notice of change of auditor

Shareholders are notified of the change of the external auditor.

Balwin had been informed by Deloitte & Touche (Deloitte) that resulting from internal
discussions about the size, nature and economic considerations of their client portfolio, they
intended to resign as auditors of the group for commercial reasons at the conclusion of their
responsibilities for the audit for the year ended 29 February 2020. Balwin subsequently
undertook a formal tender process for the appointment of an independent external auditor.

Consequently, BDO South Africa Inc., with Paul Badrick as the designated audit partner, are
proposed to be appointed as the external auditor of the group for the year ending 28 February
2021 by shareholders at the next AGM to be held on 18 August 2020.

The board of directors of the group thank Deloitte for their service to Balwin.
