Two of the properties, namely the properties situated at 23 Bitcon Road, Village Deep Johannesburg and 5 Inglestone Road, Village Deep Johannesburg (“Village Deep properties”) were purchased by Vegtu Investments Proprietary Limited (“Vegtu”). Vegtu is an associate of Ellie Salkow, who has been a director of Ellies within the 12 months preceding the disposal of the properties and who is a material shareholder of the Company. The disposal of the Village Deep properties to Vegtu requires shareholder approval, as a related party transaction in terms of the JSE Listings Requirements. Shareholders are advised that the Company has received dispensation from paragraph 10.9 of the JSE Listings Requirements which requires Ellies to dispatch a circular to its shareholders containing a notice of general meeting to obtain their approval for the transaction within 60 days.
