UPDATE ON CATEGORY 1 RELATED PARTY DISPOSAL TRANSACTION

Shareholders are referred to the terms announcement released on the Stock Exchange News Service of the JSE on
9 December 2019 relating to the proposed acquisition of 51% in aggregate of the issued share capital of UCP Holdings
Proprietary Limited (“Newco”) by The Reef Group Proprietary Limited (“TRG”) and Calibre Investment Holdings
Proprietary Limited (“CIH”) (“Proposed Transaction”).

Shareholders were advised that the Proposed Transaction is subject to the fulfilment and/or waiver, as the case may
be, of conditions precedent. Shareholders are now advised that due to certain conditions not becoming unconditional
in accordance with the agreement entered into between Unicorn, Newco, TRG and CIH, the Proposed Transaction in
its current form will not proceed.

The board of directors of Unicorn is currently in the process of considering alternatives in order to ensure that the
funding requirements and obligations of the Company are met going forward.
