Department of Basic Education re-adjudication of tender

Shareholders are referred to our previous SENS announcement dated 21 November 2018, regarding
the Supreme Court of Appeal Ruling in respect of the Department of Basic Education's (“DBE”) award
of the contract for the printing and distribution of school workbooks (“tender”).

Shareholders are advised that the DBE has announced the result of the re-adjudication of the contract
for tender. The Lebone Consortium (the consortium between Lebone Litho Printers (Pty) Ltd, Novus
Holdings and DSV Solutions (Pty) Ltd) has been granted an extension for a further two years.

The Lebone Consortium remains confident in its ability to service this contract and deliver
uninterrupted supply of the school workbooks.


Changes to the Board

In compliance with section 3.59 of the Listings Requirements of the Johannesburg Stock Exchange
(‘JSE’), shareholders are advised that Mr Abduraghman Mayman (Manie) will join the Board as Non-
Executive Director with effect from 01 March 2020. Manie is a qualified Chartered Accountant
BCompt Hons and BCom Hons (Financial Management), with more than 45 years of working
experience in auditing, accounting, taxation, corporate finance, strategic planning of which the last
25 years have been at executive level in companies such as BP, Media24 and the Oasis Group. Manie
previously served on the Group’s Board from 2014 until his resignation in 2017 due to his retirement
as CFO of Media24.

The Board of Directors welcomes Manie to the Board and looks forward to his contribution,
leadership and governance making him an asset to our Board. Board committees will be reviewed
following the induction of Manie and shareholders will be informed of any changes in due course.
