Further cautionary announcement

EOH HOLDINGS LIMITED
(Incorporated in the Republic of South Africa)
(Registration number 1998/014669/06)
JSE share code: EOH ISIN: ZAE000071072
("EOH" or "the Company")

FURTHER CAUTIONARY ANNOUNCEMENT

Shareholders are referred to the initial cautionary announcement released on SENS on 19 February 2019 and
the further cautionary announcements released thereafter, the last of which was released on 16 July 2019.

Following the release of the interim update on the forensic investigation ("Interim Update") ENSafrica and
the board continue to investigate the R1.2 billion of suspicious transactions which were identified. The
ENSafrica investigation found evidence of a number of governance failings and wrongdoing at EOH,
including unsubstantiated payments, tender irregularities and other unethical business practices which are
primarily limited to the public sector business centralised in EOH Mthombo (Pty) Ltd and to a limited number
of EOH employees. The exact nature of each of the suspicious transactions is in the final stages of being
verified and may relate to legitimate transactions, theft or bribery and corruption payments.

As this becomes clearer, EOH is simultaneously assessing the financial impact of the findings and expects to
have a reasonable assessment at the time of announcing its financial results for the year ended 31 July 2019
on or about 15 October 2019. While final verification of the exact nature of the suspicious transactions is still
being finalised, the value of suspicious transactions announced remains the maximum amount under
investigation by ENSafrica.

Accordingly, shareholders are advised to continue to exercise caution when dealing in the Company's
securities until a further announcement is made.
