APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR

In compliance with paragraph 3.59 of the JSE Limited Listings Requirements, Sasfin
is pleased to announce the appointment of Ms Eileen Wilton as an independent
non-executive director to the Sasfin board of directors and to the board of directors of
its wholly-owned subsidiary, Sasfin Bank Limited (“Sasfin Boards”) with effect from 6
August 2019.

Ms Wilton has a BCom degree and has recently graduated from the Emeritus Institute
of Management where she completed her Post-Graduate Diploma in Digital Studies
with distinction and was awarded the MTN Sponsors Award for Leadership in ICT at
its inaugural function in 2016. Eileen also completed an Executive Coaching Course
with UCT’s Get Smarter programme and the IoDSA Non-Executive Director Series I-
IV.

Ms Wilton has served as CIO for Old Mutual, CEO of Gijima, an ICT company, and
was the first global CIO of Anglo-American Plc. She has served on various boards and
committees. Eileen provides specialist consulting services in Leadership
Development, Business and Digital Strategy Development and Strategy execution
planning services.

Ms Wilton will chair the Group’s Information Technology (IT) board committee with
effect from 1 October 2019 following the resignation of Ms L de Beer which has
previously been communicated.

 Ms Wilton’s appointment will help the Sasfin Boards strengthen their technology
oversight which is critical given the growing importance of technology within financial
services. Ms Wilton’s appointment also ensures that Sasfin is well placed to meet the
Prudential Authority’s requirements of director independence, board renewal and
succession.

The Sasfin Boards welcome Ms Wilton and look forward to the knowledge and
experience that she will contribute to the Group.
