DISTRIBUTION OF CIRCULAR AND NOTICE OF GENERAL MEETING

1. INTRODUCTION
   Shareholders are referred to the announcements released on SENS on 9 April 2019 and 9 July 2019
   and using the terms defined therein unless otherwise stated, are hereby advised that the Circular
   containing, inter alia, full details of the proposed development by the Co-owners of the Mamelodi
   Shopping Centre and the Dobsonville Shopping Centre, which is classified as a Category 1 transaction
   in terms of the Listings Requirements (“Transaction”), and incorporating, inter alia,:
   -   the independent property valuer’s summary valuation report of the Properties; and
   -   a notice convening a general meeting of shareholders (“General Meeting”) in order to consider
       and, if deemed fit to pass, with or without modification, the resolutions necessary to approve, inter
       alia, the Transaction,
   has been distributed today, 19 July 2019.

2. NOTICE OF GENERAL MEETING
   Notice is hereby given that the General Meeting will be held at 10:00 on Thursday, 22 August 2019 at
   the registered office of Putprop, 91 Protea Road, Chislehurston, Sandton, 2196, to consider, and if
   deemed fit, to pass, with or without modification, the resolutions set out in the notice of General
   Meeting, which is contained in the Circular.

   The Board has determined that, in terms of section 62(3)(a), as read with section 59 of the Companies
   Act, the record date for the purposes of determining which Shareholders are entitled to receive notice
   of the General Meeting is Friday, 12 July 2019 and only Shareholders who are registered in the
   securities register of the Company on Friday, 16 August 2019 will be entitled to participate in and vote
   at the General Meeting. Accordingly, the last day to trade in Putprop shares in order to be recorded in
   the Company’s securities register in order to be entitled to attend, participate in and vote at the General
   Meeting is Tuesday, 13 August 2019.
