UPDATE REGARDING ACQUISITION OF TRANCHE 2 OF THE M1 PORTFOLIO
Shareholders are referred to the announcements issued by EPP on 11 October 2017, 4 December 2017 and
4 January 2018 wherein shareholders were advised that EPP had reached agreement to acquire a portfolio of
retail properties (being the M1 portfolio) for a combined consideration that valued the aggregate portfolio
at EUR692.1 million, which transaction was to be implemented in three separate tranches. The first tranche
was completed on 4 January 2018.
With reference to the announcement issued on 4 December 2017, EPP advises that the composition of the
properties comprising the second tranche (the "Second Tranche Acquisition") has been consensually amended
from six properties with a GLA of 184 000 m2 for an aggregate value of EUR222.5 million and purchase
consideration of EUR75.2 million to four properties with a GLA of 141 000 m2 for an aggregate value of
EUR224 million and aggregate purchase consideration (to be discharged in cash) of EUR110 million. The Second
Tranche Acquisition now comprises the properties known as M1 Radom, M1 Bytom, M1 Czestochowa and M1
Shareholders are advised that the conditions precedent for the Second Tranche Acquisition have now been
fulfilled and, accordingly, the Second Tranche Acquisition completed on 27 June 2019.
