RESULT OF SECOND BALLOT VOTING PROCEDURE IN RESPECT OF THE AMENDMENT OF
THE CORESHARES EQUAL WEIGHT TOP 40 ETF TO THE CORESHARES SCIENTIFIC BETA
MULTI FACTOR ETF AND FINALISATION ANNOUNCEMENT
Investors are referred to the announcement released on SENS on 7 May 2019, regarding the second
ballot voting procedure in respect of the amendment of the CoreShares Equal Weighted Top 40 ETF to
the CoreShares Scientific Beta Multi Factor ETF and are advised that the results of the second voting
ballot procedure were as follows:

* Included in the ballots received was a ballot from Standard Bank Nominees (RF) (Pty) Ltd, reflecting
77 078 units voting in favour and 56 306 voting against the resolution and a ballot from Rand Merchant
Bank reflecting 129 units against the resolution. Both of these ballots were not included in the summary
of votes in favour or against set out in the table above as Standard Bank Nominees (RF) (Pty) Ltd and
Rand Merchant Bank did not provide a schedule of underlying clients and their number of units held.
We were therefore unable to agree the number of units voted for by Standard Bank Nominees (RF)
(Pty) Ltd and Rand Merchant Bank on behalf of their clients to the individual unit holders per the
shareholder register as at 03 May 2019.
CoreShares is regulated by the Financial Sector Conduct Authority (formerly the Financial Services
Board). In terms of Section 98(2) of the Collective Investment Schemes Control Act of 2002 and clause
67 of the Main Deed of the Scheme, investor consent is required to effect the proposed amendment,
which allow for the following:
• Investors holding no less than 25% in value of the total number of participatory investors in the
Portfolio, excluding CoreShares, must respond to the ballot voting request, for it to be successful.
• If the majority of those who have responded to the ballot, have voted in favour, then the amendment
will be successful.
• Where less than 25% of investors respond, a second ballot will be conducted.
The second ballot conducted did not require a 25% quorum and the majority of the investors who
responded to the second ballot have voted in favour, accordingly the amendment is successful.
The implementation of the Amendments will therefore continue on the same timeline announced on 7
May 2019, the remaining items of which are included below, for ease of reference:
