No Change Statement
Shareholders are advised that the Company’s integrated annual report incorporating the
annual financial statements for the year ended 30 June 2018 will be posted to shareholders on
or about 21 May 2019 and is available on the Company’s website, www.oriongroup.co.za.
The audited financial results contain no changes to the audited consolidated financial results
for the year ended 30 June 2018, as released on the Stock Exchange News Service of the JSE
Limited (“JSE”) on 9 May 2019.

Notice of Annual General Meeting
Notice is hereby given that the annual general meeting of ordinary shareholders will be held
at 10:00 on Tuesday, 18 June 2018, in the Boardroom, 16th Floor, Orion House, 49 Jorissen Street,
Braamfontein, Johannesburg to transact the business as stated in the notice of annual general
meeting forming part of the integrated annual report.

Record Dates
The record date for the posting of the integrated annual report is Friday, 17 May 2019. The
record date on which shareholders of the company must be registered as such in the
company’s securities register in order to attend and vote at the meeting is Friday, 7 June 2019.
Accordingly, only shareholders who are registered in the register of members of the Company
on Friday, 7 June 2019 will be entitled to participate in and vote at the Annual General
Meeting. The last day to trade in order to be eligible to vote at the annual general meeting is
Tuesday, 4 June 2019.

Broad-Based Black Economic Empowerment Act ("the Act"): Annual Compliance Report
Shareholders are hereby notified that in accordance with paragraph 16.21(g) and Appendix
1 to Section 11 of the JSE Listings Requirements, the Company’s annual compliance report, in
terms of section 13G(2) of the Act, has been published and is available on the Orion Group
website, www.oriongroup.co.za under Black Economic Empowerment Opportunities.
