RESIGNATION OF CHIEF EXECUTIVE OFFICER

The Board announces the resignation of CEO, Solomon Themba Mosai, with effect from January 31,
2019.

The Board and management team would like to thank Themba for his valuable contribution and
dedication during the 15 years of service with Group Five, which period commenced in the role as
Managing Director for Intertoll Africa.

As previously disclosed, Group Five is currently undergoing significant restructuring and resizing, with its
future focus on developments, investments and concessions.

The Board has commenced a search for a new chief executive officer for the Group. The Board has thus
deemed it expedient to appoint Dr Thabo C Kgogo as Interim CEO of Group Five pending said
recruitment, with effect from February 1, 2019. As a sitting non-executive director, Dr Kgogo has good
knowledge of the Group and comes with a wealth of experience as CEO and in capital projects
implementation.
