Potential Shareholders Meeting

Shareholders are hereby advised that GPI has received a demand to call a general meeting
of shareholders (“General Meeting”) in terms of section 61(3) of the Companies Act No. 71
of 2008 (“Demand”) from parties purporting to be agents of beneficial shareholders that hold
12.6% of the voting rights of the Company (“Representatives”).

In terms of the Demand, the Representatives propose that all of the non-executive directors
of GPI be removed (“Removed Directors”) and that shareholders then re-elect 4 (four)
non-executive directors, from both the Removed Directors and from 4 (four) new individuals
that have been proposed as non-executive directors of GPI (“Proposed Directors”).

GPI is currently in the process of verifying whether the Demand is valid by determining if the
Representatives are in fact agents of beneficial shareholders that hold at least 10% of the
voting rights of the Company, as same cannot be determined from the share register.

Should it be determined that the Demand is valid, then shareholders will be advised of the
details of the General Meeting.

Moreover, the Company is in the process of determining whether the Proposed Directors will
comply with the probity requirements imposed by the relevant gambling authority and which
are applicable to all GPI directors.
