APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTORS


In compliance with paragraph 3.59(a) of the Listings Requirements of
the JSE Limited, the Board of Directors of Verimark (“Board”) is
pleased to announce that Ms Noluthando Primrose Gosa and Ms Mahlatse
Kabi have been appointed as Independent Non-Executive Directors and
members of the Audit Committee with effect from Monday 7 May 2018.


Ms Gosa completed her Masters of Business Administration (MBA)
(University of New Brunswick, Canada), BA Hons (Commns) (University
of Fort Hare) and is an entrepreneur founder of Akhona Group with
investment interests in real estate as well as industrials sectors.
She is a former Investment Banker with Investec Bank, and is also
one of the founding Commissioners of South Africa’s first National
Planning Commission (NPC), a Presidential appointment.

Ms Gosa is a director of JSE listed companies ArcelorMittal South
Africa Limited, Investec Asset Management, and is a member of the
Audit and Risk Committee of Hulisani Limited. She has received
numerous awards including the Black Management Forum Gauteng’s
Achiever Award; The Association of Black Securities and Investment
Professionals Achiever Award, the first runner up to the Women’s
Property Network’s Excellence Award, as well as nominated in the
Most Powerful Women in Business and Government Awards.

Ms Kabi Mahlatse completed her Chartered Institute of Management
Accountant (CIMA), has a MBA - Gordon Institute of Business Science,
Certificate of Theory in Accounting, Bachelor of Accounting Science
(Honours) and Bachelor of Commerce.


She has over 20 years’ experience in management of which 12 years
was in finance and the rest in investments and structuring of BEE
transactions. She is currently working as a Chief Financial Officer
at the Gordon Institute of Business Science (GIBS) and as a part
time member of Makalani Advisory team doing advisory work on mergers
and acquisitions.


Following her career starting at KPMG Inc., serving her articles, Ms
Kabi held senior finance positions at Standard Bank, SA Breweries
and Multichoice SA before joining Mineworkers Investment Company
(MIC) in 2005 to set up and head the finance function. Ms Kabi later
took up the role of Senior Investment Manager at MIC involved in all
aspects of investment - sourcing, due diligence, acquisitions,
valuations, strategic oversight, and divestitures and reporting.

She also served on the boards and sub committees of various
portfolio companies of MIC such as Tracker Connect, Westcon SA, Mine
Safety Appliances, General Electric SA (Transportation), Masana
Petroleum Solutions, IZAZI Solutions and Wesbank, a division of
First Rand Bank and their various sub-committees.

Ms Kabi is currently serving on the board of Stangen Insurance
Company, JM Busha Asset Management Company and Rand Water
Foundation.


The Chairman together with the Board welcomes both Ms Gosa and
Ms Kabi to the Board and look forward to their contribution to the
Company.
