RESULTS OF THE SCHEME MEETING
Shareholders of Compu-Clearing are advised that at the meeting convened to approve the offer by WiseTech
Global to acquire all the issued shares of Compu-Clearing which it does not already own, by way of a scheme of
arrangement in terms of section 114 of the Companies Act 71 of 2008, as amended ("Companies Act")
("Scheme"), held at the registered offices of Compu-Clearing on Thursday, 20 August 2015 ("Scheme Meeting"),
the voting results were as follows:

Based on the above voting results, each of the resolutions was passed by the requisite majority of Compu-Clearing
shareholders entitled to vote on the resolutions.


Shareholders of Compu-Clearing are further advised that no objections to the special resolution to approve the
Scheme in terms of section 164 of the Companies Act were received by Compu-Clearing.


Shareholders of Compu-Clearing are referred to the circular (which is available on Compu-Clearing’s website
hosted at www.compclear.holdings/scheme) pertaining to the Scheme for details of the remaining conditions
precedent and important dates and times relating to the Scheme. These dates and times are subject to amendment,
and any such amendment will be released on SENS.


INDEPENDENT BOARD RESPONSIBILITY STATEMENT
The independent board of Compu-Clearing established to consider the Scheme accepts responsibility for the
