APPOINTMENT OF AN INDEPENDENT NON-EXECUTIVE DIRECTOR


In compliance with paragraph 6.39 of the Debt and Specialist Securities Listings Requirements of the
JSE Limited ("DSSRs"), noteholders and other stakeholders are hereby advised that the Honourable
Minister of Water and Sanitation (the "Minister"), Ms Pemmy Majodina, has appointed Mr James
Sikhosiphi Nxumalo as an Independent Non-Executive Director of the Board of uMngeni-uThukela Water
(the "Board") with effect from 10 April 2026.


This appointment has been made in accordance with section 35 of the Water Services Act, No. 108 of
1997, which vests the Minister with the authority to appoint members to the board of a water board. .


Following this appointment, the total number of Board members has increased to eleven (11). Mr
Nxumalo's term will run concurrently with the current term of the Board, which is due to expire in
September 2027.


Mr Nxumalo brings extensive experience relevant to the governance and oversight responsibilities of the
Board. The Board welcomes his appointment and looks forward to his contribution in advancing the
mandate and strategic objectives of uMngeni-uThukela Water.
