CHANGE TO THE BOARD AND BOARD COMMITTEES

Shareholders are advised that Mr Bright Khumalo has, due to personal reasons, tendered his resignation as a
non-executive director of the Company and as chairman of the Group's Remuneration and Nomination Committee and
as a member of the Group's Audit and Risk Committee. Mr Khumalo's resignation is effective from 8 January 2026.

The board of directors of Africa Bitcoin Corporation ("Board") has commenced a process to appoint a suitable non-
executive director, as Mr Khumalo's successor, and is confident that such a candidate will be identified in the near future.
A further announcement in this regard will be released once an appointment is made.

The Board wishes to thank Mr Khumalo for his invaluable contribution during his tenure and wishes him the best in his
future endeavours.
