CHANGE OF EXTERNAL AUDITOR
In accordance with paragraphs 3.75 to 3.78 of the JSE Limited Listings Requirements, shareholders are advised
that BDO South Africa Incorporated ("BDO") has resigned as the Group's external auditor, with effect from
22 October 2025.
The external auditor has advised that its resignation follows the Company's adoption of its Bitcoin Treasury Strategy
and the appointment of Forvis Mazars Incorporated as external auditor to ABC's subsidiary, Africa Bitcoin Strategies
Proprietary Limited (formerly Altvest Bitcoin Strategies Proprietary Limited), which will lead execution of the strategy
through the accumulation and holding of Bitcoin on behalf of the Company, with the intention of becoming a
significant component of the Group. As Group auditor, the firm must be satisfied that sufficient and appropriate
audit evidence is obtained to support the Group audit opinion; however, with a significant component audited by
another firm, the signing partner would need to rely primarily on that firm's working papers, which in these
circumstances may not enable the Group auditor to perform the necessary procedures or demonstrate compliance
with ISA 600 (Revised) on group audits. In light of this constraint, BDO has elected to resign.
The Company has commenced the process of appointing a new external auditor of the Group and will advise
shareholders once such appointment has been confirmed.
