Appointment of a non-executive director

In compliance with the JSE Limited Listings Requirements,
shareholders are advised that the Board has appointed Ms Shirley
Machaba as an independent non-executive director of the Company
with effect from 1 July 2026.

A Chartered Accountant (SA) and Chartered Director (SA), Ms
Machaba has served on the PwC Global Board and Global Leadership
Team, contributing to transformation, operations, and partner
development. She currently sits on the boards and audit
committees of Business Leadership South Africa (BLSA), the
Institute of Directors Southern Africa (IoDSA), and the American
Chamber of Commerce. She is the Senior Vice President of Global
Internal Audit Foundation and Chair of Strategy Committee.

Ms Machaba will be stepping down from her role as PwC Southern
Africa CEO on 30 June 2026.

A fit and proper assessment was conducted in respect of the
director, and the Board expresses satisfaction with the results
of this evaluation.

In addition, Ms Machaba has confirmed the integrity-related
information provided in the director's declaration, and the Board
is satisfied that there are no statements or disclosures to
report in relation thereto.

The Board welcomes Ms Machaba and looks forward to her
contribution.
