NEDBANK GROUP AND NEDBANK – NEW BOARD COMMITTEE

In compliance with paragraph 6.42(c) of the Debt and Specialist Securities Listings Requirements of the
JSE Limited, Nedbank Group and Nedbank hereby notifies noteholders that the Group board of directors
has constituted a new standing board committee, the Group Model Risk Oversight Committee
(GMROC), with effect from 1 November 2025.

The membership of the GMROC comprises:

a)   Stanley Subramoney - Chairperson of the GMROC (Chair of the Group Credit Committee);
b)   Neo Dongwana (Chair of the Group Audit Committee);
c)   Rob Leith (Chair of the Group Risk and Capital Management Committee);
d)   Jason Quinn (Group Chief Executive);
e)   Mike Davis (Group Chief Financial Officer);
f)   David Crewe-Brown (Group Chief Risk Officer);
g)   Anél Bosman (Group Managing Executive: Corporate and Investment Banking);
h)   Andiswa Bata (Group Managing Executive: Business and Commercial Banking); and
i)   Ciko Thomas (Group Managing Executive: Personal and Private Banking).

These changes reflect Nedbank Group's ongoing commitment to good governance and effective
oversight in support of its strategic objectives.
