NEW FINANCIAL INSTRUMENT LISTINGS OML24 AND OML25 - ADDITIONAL TERMS AND CONDITIONS
The announcement released on SENS on 14 October 2026, relating OMLACSA's new financial instrument listings, OML24 and OML25, refers. The Applicable Pricing Supplements of OML24 and OML25 contain additional terms and conditions, and additional information, as set out in Appendices A to E. Set out below is a summary of the additional terms and conditions, and additional information:
* Appendix A: An explanation of Screen Rate Determination for Floating Rate Notes Referencing Compounded Daily Zaronia (Lookback Without Observation Shift); an additional Event of Default relating to the Subordinated Guarantee; and treatment of Accrued Interest from the date of redemption.
* Appendix B: Subordinated Guarantee - the Guarantor has unconditionally and irrevocably guaranteed to the Noteholders the due and punctual payment by the Issuer of all amounts owing by the Issuer in respect of the Notes issued pursuant to the Applicable Pricing Supplement.
* Appendix C: Documents Incorporated by Reference relating to the Issuer's audited annual financial statements and unaudited interim financial statements of the Guarantor.
* Appendix D: A description of the Guarantor relating to business description and risk factors.
* Appendix E: Additional Risk Factors relating to ZARONIA.
