APPOINTMENT OF CHIEF EXECUTIVE OFFICER OF ACSA
In accordance with paragraph 6.42 of the JSE Limited Debt and Specialist Securities Listings Requirements, noteholders are hereby advised that
ACSA is pleased to announce the appointment of Mr Siphamandla Mthethwa (“Mr Mthethwa”) as Chief Executive Officer (“CEO”) of ACSA, with effect
from 1 November 2026. As a result of this appointment, Mr Mthethwa will also serve as an Executive Director of the Company.
Mr Charles Shilowa, who is currently serving as the Acting CEO, will subsequently, cease to be an Executive Director and a member of the
Company’s Social and Ethics Committee and Board Investment Committee with effect from 1 November 2026.
Mr Mthethwa is a Chartered Accountant (SA) and seasoned executive with over 20 years of leadership experience across the aviation, energy,
mining, telecommunications, utilities and financial services sectors. He has served as Chief Financial Officer and Executive Director of several
major state-owned enterprises, including Airports Company South Africa SOC Limited (“ACSA”), Central Energy Fund, and the African Exploration,
Mining and Finance Corporation.
He has served as Chief Financial Officer and Executive Director of Airports Company South Africa SOC Limited from 2020 to 2023, where he
provided strategic financial leadership for South Africa's network of nine major airports. During his tenure, he led a successful R6 billion
funding programme, oversaw the implementation of the Company's financial recovery strategy during the COVID-19 period, and facilitated the
issuance of a R1.8 billion bond without a government guarantee.
The appointments will be made in accordance with the nomination and Appointment of Directors policy of ACSA.
The ACSA Board extends its best wishes to Mr Mthethwa for every success in his new role and expresses its sincere appreciation to Mr Shilowa for
his valued leadership and stewardship during his tenure as Acting Chief Executive Officer.
