RESULTS OF ANNUAL GENERAL MEETING
Shareholders are advised that, at the annual general meeting of Cilo Cybin held today, 7 October 2026, all
the resolutions as set out in the notice of the annual general meeting were passed by the requisite majority
of shareholders.
As an issuer with a weighted voting structure, Cilo Cybin has ordinary shares and unlisted Class A ordinary
shares in issue. Each ordinary share carries one vote and each Class A ordinary share carries ten votes,
save for matters subject to the Enhanced Voting Process pursuant to which each Class A ordinary share is
limited to one vote.
In accordance with the Company’s MOI, resolutions relating to the appointment of auditors, the appointment
or re-election of independent non-executive directors and the remuneration policy and implementation
report, namely ordinary resolution numbers 1, 2.2, 5, 6 and 7, were subject to the Enhanced Voting Process
in terms of which the Class A ordinary shares carried one vote per share (referred to as “Enhanced” in the
voting basis column in the table below).
In terms of all other resolutions namely ordinary resolution numbers 2.1, 3.1, 3.2, 3.3, 4.1, 4.2, 4.3, 8, 9 and
special resolution numbers 1 and 2, each Class A ordinary share carried ten votes (referred to as
“Weighted” in the voting basis column in the table below).
Details of the voting results at the annual general meeting were as follows:
- total number of Cilo Cybin ordinary shares and Class A ordinary shares (collectively, the “shares”) that
could have been voted at the annual general meeting: 288 088 772 shares (being the aggregate amount
of 230 475 136 ordinary shares and 57 613 636 Class A ordinary shares);
- total number of shares represented in person or by proxy at the annual general meeting: 182 398 674
shares representing 63.31% of the total voteable shares;
- the total number of voting rights represented in person or by proxy on ordinary resolution numbers 2.1,
3.1, 3.2, 3.3, 4.1, 4.2, 4.3, 8, 9 and special resolution numbers 1 and 2 was 700 921 398, representing
86.90% of the aggregate voting rights capable of being exercised on such resolutions.
