Delay in publication of Annual Financial Statements for the year ended 28 February 2025 and suspension of listing SABLE EXPLORATION AND MINING LIMITED (Incorporated in the Republic of South Africa) Registration number: 2001/006539/06 JSE Share Code: SXM ISIN: ZAE000303319 ("SEAM" or "the Company") General Segment DELAY IN PUBLICATION OF ANNUAL FINANCIAL STATEMENTS FOR THE YEAR ENDED 28 FEBRUARY 2025 AND SUSPENSION OF LISTING Shareholders are advised that the Company will not be in a position to publish its audited annual financial statements ("AFS") for the year ended 28 February 2025 ("AFS 2025") within the prescribed period in terms of paragraph 3.19 of the JSE Listings Requirements. The delay arises primarily due to the time taken to secure a new auditor following the resolution of a reportable irregularity ("RI") process, which impeded the timely appointment of the audit firm. This has impacted the completion of the audit process. As a result of the delay, the JSE Limited ("JSE") has advised that the listing of the Company's securities will be suspended with effect from 13 August 2025 until such time as the AFS 2025, together with the associated audit report, are published. The Company is working diligently to expedite the finalisation of the AFS 2025 and is engaging with the JSE on a regular basis to ensure compliance and transparency. The Board and management remain committed to keeping shareholders fully informed. The Company will provide further updates on the progress of the audit and the expected publication date of the AFS 2025. Shareholders are advised that the Company anticipates that the suspension will be lifted upon publication of the AFS 2025 and the outcome of the JSE Listings Division's review.
