KEY FINANCIAL HIGHLIGHTS
-     Group total revenue decreased by 18,65% to R28,814,412 (2025: R35,420,493)
-     Group profit for the year decreased from a profit of R20,052,871 in 2025 to a loss of R239,732,145
-     Headline earnings and earnings per share decreased by 1111% to a loss per share of 95.90 cents
      (2025: 9.49 cents profit*)
-    Dividend per share declared remained unchanged (2025: Nil)
*The consolidated comparative numbers for 2025 differ from those previously reported by the Company in the prior
year due to the application of IFRS accounting to the acquisition of Cilo Cybin Pharmaceutical Proprietary Limited and
the impact of reverse acquisition accounting arising from the transaction.

Cilo Cybin is a South African pharmaceutical and medicinal cannabis-focused company listed on the General Segment
of the Main Board of the JSE Limited (“JSE”). The Group is focused on developing and commercialising pharmaceutical
and medicinal cannabis products in regulated healthcare markets.

In September 2025, Cilo Cybin concluded the acquisition of 100% of Cilo Cybin Pharmaceutical Proprietary Limited
(“CCP”) for an aggregate purchase consideration of R845 million, settled through the issue of Cilo Cybin shares. The
transaction resulted in CCP becoming a wholly owned subsidiary and provided Cilo Cybin with an operating
pharmaceutical platform aligned with its strategy of expanding its presence in the medicinal cannabis and
pharmaceutical sectors.

The acquisition was a reverse listing in terms of IFRS, resulting in CCP being deemed the accounting acquirer and the
Company the accounting acquiree, since Cilo Cybin did not meet the definition of a "business" in terms of IFRS 3.
Accordingly, any excess of the fair value of the shares issued by the accounting acquirer over the fair value of the
accounting acquiree’s recognisable net assets was expensed, since the excess fair value represents a share-based
payment made in exchange for obtaining a listing. This resulted in the group having to recognise a once off IFRS 2
share-based payment/ listing expense in the Statement of Profit and Loss of R217 480 665.

INTEGRATED ANNUAL REPORT

Cilo Cybin shareholders are advised that the integrated annual report for the year ended 31 March 2026 (“IAR”) has
been distributed to shareholders today, Monday, 7 September and will be available on the Company’s website at

Electronic copies of the IAR can also be requested from the Company Secretary at no charge via e-mail at
sascha@ramirez.co.za and are available for inspection (by appointment) at the Company’s registered office during
office hours.

NOTICE OF ANNUAL GENERAL MEETING

Notice is hereby given that the annual general meeting of shareholders of the Company (“AGM”) will be held at 10:00
on Wednesday, 7 October 2026, entirely by electronic communication, to consider and, if deemed fit, to pass with or
without modification, the ordinary and special resolutions set out in the notice of AGM (“Notice”), which is contained
in the IAR.
