OANDO PLC – UPDATE ON THE PUBLICATION OF THE 2025 AUDITED FINANCIAL
STATEMENTS AND Q1 2026 UNAUDITED FINANCIAL STATEMENTS

Oando PLC ("Oando" or the "Company"), Nigeria's leading indigenous energy group listed on both
the Nigerian Exchange Limited (NGX) and Johannesburg Stock Exchange (JSE Limited), wishes
to inform its shareholders and the public of the following update.

Further to its prior announcement regarding the delay in the publication of its 2025 Audited
Financial Statements ("2025 AFS"), the Board of Directors has now approved the Company's 2025
AFS and Management has subsequently submitted them to the Financial Reporting Council of
Nigeria (FRCN) for final regulatory review, in accordance with applicable statutory requirements.

Following receipt of regulatory clearance from the FRCN, the Company will proceed with formal
publication of the 2025 AFS. This process is expected to be completed on or before June 12, 2026,
after which the Company intends to publish its Q1 2026 Unaudited Financial Statements on or
before 30 June 2026.

The Company remains committed to the highest standards of financial reporting integrity,
transparency and timely disclosure in compliance with the NGX Listing Rules. We thank our
