APPOINTMENT OF CHIEF PROCUREMENT OFFICER AND ADOPTION OF NEW PROCUREMENT POLICY

Following announcements on 24 October 2023 and 30 November 2023 in relation to SANRAL's
procurement policy, SANRAL wishes to inform its debt investors that it has appointed Dr Khomotso
Mhelembe as Chief Procurement Officer ("CPO"). This appointment establishes Supply Chain
Management ("SCM") and procurement as a distinct unit within the organisation. The CPO's initial
task was to conduct a comprehensive review of SANRAL's procurement policy, including an
evaluation of the procurement committees.

The CPO has completed the aforementioned review and piloted implementation of a new
procurement policy (the "Policy") replacing the previous procurement policy. The remaining task
involves developing the procedures that will be aligned with the Policy. These procedures will also be
released once finalised.

In terms of the Policy, the key focus areas are as follows:

   -  The board of directors ("Board") has oversight responsibility for overall regulatory, policy and
      strategy implementation across SANRAL, to ensure that SANRAL operates as a good and
      ethical corporate citizen. The Board is responsible for the final approval of the Policy as well as
      any deviations from the Policy.
   -  The Contracts Committee ("CC"), as a sub-committee of the Board, will provide further
      oversight with respect to the effective implementation of the Policy through the routine review of
      SCM performance and approval of strategically significant sourcing strategies as per the
      SANRAL Delegation of Authority Framework.
   -  The CPO is the custodian of the Policy and is responsible for the documentation of the Policy,
      timely review and updating of the Policy, dissemination and consultation on the Policy with
      relevant stakeholders. The CPO is also responsible for support and training on the Policy
      across the Company.
   -  The CEO of SANRAL, as the sponsor of the Policy, is responsible for providing support to the
      Policy, reviewing the Policy for consistency with related SANRAL policies, systems, codes of
      good practice and conduct and ensuring that the correct approval and documentation
      processes are being followed.
   -  The Policy specifically deals with the procurement of services and/or products by SANRAL and
      sets out the processes involved in relation to the appointment of service and/or product
      providers.
   -  The Policy has been approved by the Board and for release to prospective suppliers and debt
      investors.
