CHANGE TO THE BOARD OF DIRECTORS AND THE COMPOSITION OF AUDIT AND RISK COMMITTEE

In compliance with Section 3.59 of the listing requirements of the JSE Limited, the Company hereby
advises that Ms Kathy Ostin has been appointed to the Board of Directors of Bidcorp ('the Board') as
an independent non-executive director with effect from May 15th 2026.

Bidcorp further notifies shareholders that the Board has resolved to appoint Ms Ostin as a member
of the Audit and Risk Committee, with immediate effect.

Pursuant to paragraph 6.73 of the JSE Listings Requirements, the Board confirms that a fit and proper
assessment, as contemplated in paragraph 5.6 of the JSE Listings Requirements, was undertaken in
respect of Ms Ostin and that the Board is satisfied with the outcome thereof. The Board further
confirms that Ms Ostin's background and qualifications have been independently verified. Ms Ostin
has not made any declarations which require disclosure pursuant to paragraph 6.74 of the JSE Listings
Requirements.

Ms Ostin is an experienced non-executive director with extensive audit and risk experience. She has
served as Chairman and member of audit and risk committees of a number of Australian listed
businesses and was previously a partner at a major audit firm, with international experience across
Australia, the United States, Asia and the United Kingdom.

Ms Ostin's appointment further strengthens Bidcorp's commitment to advancing Bidcorp's Board
succession planning and robust governance. The Board welcomes Kathy and looks forward to her
valued contribution.
