Eskom Changes To Board Committees - BIESKM Eskom Holdings SOC Limited (Registration No. 2002/015527/06) JSE alpha code: BIESKM ("Eskom") ESTABLISHMENT OF A SEPARATE RISK COMMITTEE AND RESULTANT CHANGES TO BOARD COMMITTEES Pursuant to paragraph 6.42 (c) of the JSE Debt and Specialist Securities Listings Requirements, noteholders are advised that Eskom has established a separate Risk Committee and that this has resulted in changes to some board committees. The Audit and Risk Committee was split to form an Audit Committee and a separate Risk Committee, to enhance oversight and accountability by bringing greater focus to the distinct responsibilities of the two committees. The Audit Committee retains the same members as the original Audit and Risk Committee. Members of the Risk Committee include five non-executive directors being Dr Tsakani Mthombeni (Chairman), Ms Fathima Gany, Mr Clive le Roux, Mr Bheki Ntshalintshali and Dr Busisiwe Vilakazi as well as two executive directors being Mr Dan Marokane (Group Chief Executive) and Mr Calib Cassim (Group Chief Financial Officer). The membership of the Governance and Strategy Committee ("GSC") comprises the chairmen of each board committee, and as such, Dr Tsakani Mthombeni, Chairman of the newly established Risk Committee.
