DISPOSAL OF BENEFICIAL INTEREST BY A FORMER MATERIAL SHAREHOLDER



In accordance with section 122 of the Companies Act, No. 71 of 2008 ("Companies Act")
and JSE Listings Requirements, shareholders are advised that Labat Africa Limited ("Labat"
or "the Company") has become aware, pursuant to a review of its share register and a
formal notice received by the Company on 20 March 2026, that Mr. Christopher Mark
Govender has disposed of his entire shareholding of 200,000,000 ordinary shares in the
Company and now holds 0% of the total ordinary shares in the issued share capital in Labat,
as contemplated in paragraph 6.54 of the JSE Listings Requirements.

Based on the information available to the Company, the disposal of shares was effected
on market, and accordingly the Company has no visibility on the identity of the acquiring
beneficial shareholders.

The Company has submit the prescribed notice to the Companies and Intellectual Property
Commission ("CIPC") upon receipt of the required section 122 notification.

Shareholders are further advised that any person or entity who has acquired a beneficial
interest in the Company's shares to the extent that the disclosure thresholds contemplated
in section 122 of the Companies Act are triggered, is required to notify the Company
accordingly.

The board of Labat Africa takes full responsibility for the information contained in this
announcement and confirms that, to the best of its knowledge and belief, the information
is true and that this announcement does not omit anything likely to affect the importance
of such information.
