The Management Board of Globe Trade Center S.A., hereby informs that on 15
July 2025, it received a written notice from GTC Dutch Holdings B.V. with its registered office
in Amsterdam, the Netherlands (the "Entitled Shareholder"), according to which the
Entitled Shareholder appoints Ms. Sarolta Várszegi as member of the Supervisory Board of the
Company, effective immediately. The appointment was made pursuant to article 9 point 1 a)-c) of
the Articles of Association of the Company.

Pursuant to the deposit certificate attached to the notice, Entitled Shareholder holds 337,637,591
shares in the Company, which constitute 58.80% of the Company's share capital, and therefore
Entitled Shareholder is entitled to appoint members of the Supervisory Board of the Company
pursuant to the Articles of Association of the Company.

According to the statements Ms. Sarolta Várszegi is not entered in the register of insolvent
debtors maintained in compliance with the Act on the National Court Register dated 20 August
1997, does not conduct any business activity outside the Company that is competitive with its
operations., does not participate in any competitive business either as a partner in a civil
partnership or any other type of partnership, and is not members of the authorities of
any competing company or any other competing entity. Moreover, Dr. Sarolta Várszegi fulfils
the independence criteria as specified in Annex No. II to Commission Recommendation
2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed
companies and on the committees of the (supervisory) board.

Dr. Sarolta Várszegi is an attorney-at-law holding an LL.M. from University College London (UCL)
and the Certified European Financial Analyst (CEFA) designation, with 20 years of experience in
advising corporate clients on corporate law, mergers and acquisitions, corporate restructurings, as
well as capital markets transactions involving debt instruments and shares, stock exchange
listings, and corporate governance. She started her practice in the Budapest offices of
international law firms such as Clifford Chance and White & Case. Before establishing Várszegi
Law Firm, she held the position of manager, and subsequently associate partner at EY, co-
heading the legal service line and managing complex projects. Dr. Sarolta Várszegi is a member
of the Issuers Committee of the Budapest Stock Exchange.

Legal grounds: Art. 5 point 6 of the Regulation of the Council of Ministers of 6 June 2025
concerning the submission of current periodical information by the securities' issuers and the
conditions of recognizing as equal the information demanded by the national lawful regulation of a
country which does not hold the membership in European Union
