Clindeb Investments Limited ZAR7,500,000,000 Domestic Medium Term Note Programme (the Programme): Increase In Programme Amount
Noteholders are hereby notified, that pursuant to clause 18 of the Programme Agreement, the Programme Amount of the Programme
will be increased from ZAR7,500,000,000 to ZAR10,000,000,000 with effect from 20 April 2026 whereupon all references to the current
Programme Amount in the Programme Memorandum, the Information Statement, the Programme Agreement, the Agency Agreement and any other
relevant documents will be deemed amended accordingly.
The increase in the Programme size enhances the Issuer's financial flexibility and ensures access to capital markets,
should funding opportunities arise. The increase does not reflect any change in the Group's funding requirements or
debt levels.
The Group remains committed to maintaining a disciplined approach to capital management and continues to operate
within its established risk and governance frameworks. All future issuances under the Programme will be undertaken
with due consideration to market conditions, funding needs, and the Group's strong financial position.
This enhancement aligns with the Group's broader strategy of ensuring diversified and flexible funding sources while
maintaining balance sheet strength and long-term financial sustainability.
Terms used in this announcement have the meanings given to them in the Programme Agreement.
