FULFILLMENT OF THE SUSPENSIVE CONDITIONS RELATING TO THE DISPOSAL BY ENX OF
ITS REMAINING INTEREST IN WEST AFRICAN INTERNATIONAL ("WAI")
Unless otherwise defined herein, capitalised words and terms contained in this announcement shall
bear the meanings ascribed thereto in the Circular (defined below).
1. INTRODUCTION
Shareholders are referred to the circular distributed on 5 March 2026 ("Circular") relating to, inter
alia, the written notice delivered by Trichem SA of its intention to exercise its option to acquire the
remaining 75% interest in WAI ("Transaction"), as well as the announcement released on SENS
on 7 April 2026 advising that the Transaction had been approved by the requisite majority of
Shareholders.
2. FULFILLMENT OF SUSPENSIVE CONDITIONS
The Company is pleased to advise that all Suspensive Conditions for the Transaction, as set out
in the Subscription and Options Agreement (as amended) and detailed in the Circular, have been
fulfilled. Accordingly, the Transaction has become unconditional with effect from today,
Wednesday, 22 April 2026. Shareholders are advised that the Transaction will not be given effect
to or implemented until receipt of the requisite compliance certificate from the Takeover Regulation
Panel, which is expected to be received on or about Friday, 24 April 2026.
