APPOINTMENT OF AN ALTERNATE DIRECTOR AND CHANGE IN THE FUNCTION OF
AN ALTERNATE DIRECTOR

In accordance with paragraph 3.59 of the JSE Listings Requirements,
shareholders are advised that Mr Stephen Jones has been appointed
by the Board as an alternate executive director to Mr Ashley Bell,
the chief executive (CEO), with effect from 4 September 2025.

Mr Jones is currently the group business development and OEM sales
executive and has been involved with the Company for over 30
years, holding a number of senior executive roles in the Company.
He holds a BTech (Business Management) and a National Higher
Diploma in Mechanical Engineering.

As a result, Mr Avishkar Goordeen ceased to be the alternate
executive director to the CEO. In view of Mr Goordeen's ongoing
instrumental role on the group executive committee, he has been
appointed by the Board as an alternate executive director to Mrs
Karen van Haght, the finance director, with effect from 4 September
2025.

Mr Goordeen holds a BCompt Honours degree and is a Chartered
Accountant and is currently the group commercial and IT systems
executive. He has over 18 years' experience at Bell.

The reason for the changes to the Board is to align the alternate
director positions of these executives with their areas of
expertise and responsibility.
