OANDO PLC ANNOUNCES AN UPDATE ON THE PUBLICATION OF ITS 2025 AUDITED FINANCIAL STATEMENTS

Oando PLC ("Oando" or the "Company"), Nigeria's leading indigenous energy group listed on both
the Nigerian Exchange Limited (NGX) and the Johannesburg Stock Exchange (JSE Limited),
wishes to inform its shareholders and the investing public that, further t o its previous announcement
regarding the approval of the Company's 2025 Audited Financial Statements ("AFS") by the Board
of Directors and the subsequent submission of the AFS to the Financial Reporting Council of
Nigeria (FRCN) for regulatory review, the review process remains ongoing.

The Company continues to engage actively with the FRCN and other relevant regulatory authorities
in connection with the review process and is awaiting the completion of all requisite regulatory
clearances.

Upon the conclusion of the regulatory review process and receipt of the necessary approvals, the
Company will proceed with the publication of its 2025 Audited Financial Statements. Thereafter,
the Company will publish its Q1 2026 Unaudited Financial Statements.

Oando remains fully committed to maintaining the highest standards of financial reporting integrity,
transparency, and regulatory compliance. The Company will continue to keep shareholders,
regulators, and the investing public informed of material developments and provide updates as
appropriate throughout the process.
