APPOINTMENT OF FINANCIAL DIRECTOR



In accordance with paragraph 6.71 of the JSE Limited Listings Requirements, shareholders
are advised that the Board of Directors ("the Board") is pleased to announce the
appointment of Mr Terry Kevin Johnson as Financial Director of Labat Africa Limited with
effect from 6 March 2026.

Mr Johnson (56) holds a BCom (Accounting) degree and is a Professional Accountant (SA).
He is a member of the South African Institute of Professional Accountants (SAIPA) and has
completed the IoDSA "Being a Director" programme, including King IV and ethics
components.

Mr Johnson brings over 30 years' experience in financial management, governance,
statutory compliance, IFRS reporting, audit oversight and JSE regulatory compliance. He has
served as Group Financial Manager of Labat Africa Limited since March 2016, where he
was responsible for the full financial function of the holding company and its subsidiaries,
preparation of integrated annual reports in compliance with IFRS, budget control, cash flow
management, statutory reporting and JSE compliance.

In addition, Mr Johnson currently serves as a Non-Executive Director and Chairperson of the
Finance and Investment Committee of the Property Practitioners Regulatory Authority
(PPRA), a division of the National Department of Human Settlements.

The Board is satisfied that Mr Johnson possesses the appropriate expertise and experience
required for the position of Financial Director in terms of paragraph 6.73 of the JSE Listings
Requirements.

The Board welcomes Mr Johnson to the role as an executive director and looks forward to
his continued contribution to the Company.
