CHANGES TO THE BOARD OF DIRECTORS AND RESPONSIBILITIES

In compliance with paragraph 3.59 of the Listings Requirements of JSE Limited, the
board of directors of Purple Group ("the Board") hereby notifies its shareholders of the
re-appointment of Happy Ntshingila as an independent non-executive director and
Chairperson effective from 1 February 2026.

As announced on SENS on 10 April 2025, Mr Ntshingila resigned from the Board
effective 09 April 2025 due to the requirements of the Legal Practice Act, which
prohibits candidate legal practitioners undergoing pupillage from holding certain
external directorships or board positions to avoid conflicts of interest and ensure full
commitment to their legal training. Mr Ntshingila had indicated his intention to rejoin
the Board following the completion of his bar examinations at the end of September 2025.

Mr Ntshingila has now successfully completed his pupillage and bar examinations and
is available to resume his role on the Board.

The Board has conducted a re-assessment of his independence and is satisfied that
he continues to qualify as an Independent Non-Executive Director as defined by the
Companies Act, Act 71 of 2008 and the King V Report on Corporate Governance.

Mr. Ntshingila will also serve as a member of the Social and Ethics Committee and the
Remuneration Committee from 1 February 2026.

The Board wishes to thank the current acting Chairperson of the Board, Craig Carter,
who stood in as Chairperson during Mr Ntshingila absence, who will remain on the
Board as an independent non-executive director.
