UPDATE ON THE DISPOSAL OF ESKOM FINANCE COMPANY SOC LIMITED

Eskom refers to its previous announcements, the last of which was dated 10 July 2025, relating
to the disposal of the staff home loan book and assets housed in Eskom Finance Company
SOC Limited ("EFC") and its interest in Nqaba Finance 1 RF Limited.

Following a competitive bidding process, African Bank Limited was selected as the preferred
bidder, and the sale of loan book agreement regulating the proposed transaction was
concluded in April 2025, subject to the fulfilment of certain conditions precedent within agreed
timelines.

The date for the fulfilment of the conditions precedent was extended by agreement between
the parties from 30 September 2025 to 31 March 2026. Notwithstanding the extension, certain
conditions precedent were not fulfilled by that date and, accordingly, the agreements
automatically lapsed in terms thereof and are of no further force or effect.

Eskom will assess the most suitable way forward in relation to EFC, having regard to its
strategic objectives and stakeholder considerations, and will make further announcements,
as and when required, in accordance with applicable regulatory and disclosure obligations.
