Changes to the Company Secretary
In terms of paragraph 6.42 of the JSE Limited Debt and Specialist Securities Listings Requirements,
noteholders are advised that its company secretary, Ms Thobeka Bonoyi has resigned with effect from Friday,
13 March 2026.
Noteholders are further advised that Ms Lucy Mokoka has been appointed as acting company secretary, effective
immediately. Ms Mokoka was appointed at MTN as the deputy company secretary in 2023. She is an admitted attorney
and an experienced company secretary with approximately 28 years in legal, governance and compliance roles. She
has previously served as a company secretary in various JSE-listed companies and holds Bachelor of Laws (LLB) and
B Juris qualifications. The MTN Holdings board of directors is satisfied that Ms Mokoka has the competence,
qualifications and experience to take up the position as acting company secretary.
A further announcement will be made in this regard, as appropriate, in due course.
