                   UPDATE REGARDING THE PROPOSED REPURCHASE OFFER AND DELISTING OF SAIL


   Sail shareholders ("Shareholders") are referred to the announcement released on SENS on 12 December 2025 ("Launch
   Announcement"), regarding a repurchase by the Company (the "Repurchase" or "Offer"), on a pro rata basis, of all the ordinary shares
   in its issued share capital ("Sail Shares"), provided that to the extent all Shareholders accept the Repurchase, one shareholder shall
   remain as a shareholder of Sail in terms of an undertaking granted to the Company to that effect, subject to the terms and conditions as
   set out in the Launch Announcement.

   The Board simultaneously advised Shareholders that it proposes the termination of listing of all of the Sail Shares from the AltX Board of
   the JSE.

   Shareholders are advised that the indicative dates and times set out in the Launch Announcement were subject to the fulfilment of certain
   regulatory approvals, anticipated to be received in the next two weeks. As certain regulatory approvals remain outstanding, the timetable
   will have to be revised.

   A revised timetable will be announced on SENS in due course.
