NOTICE OF ANNUAL GENERAL MEETING

Annual financial statements and integrated annual report

Shareholders are advised that Grindrod's audited annual financial statements for the year ended 31 December 2025
("AFS") and the 2025 integrated annual report ("IAR") will be distributed to shareholders today, 2 April 2026.

The IAR, incorporating the summarised AFS, will be available on the Company's website from 09h00 today at
https://www.grindrod.com/investor-proposition/shareholder-documents#annual-reports.

The audited AFS will also be available on the Company's website and through the JSE cloudlink
https://senspdf.jse.co.za/documents/2026/jse/isse/GNDE/AFS2025.pdf on which the Company's auditors,
PricewaterhouseCoopers Incorporated, issued an unqualified audit opinion.

No change statement

Shareholders are further advised that Grindrod's audited AFS for the year ended 31 December 2025 are unchanged
from the reviewed results released on SENS on 6 March 2026.

Update on the Notice of Annual General Meeting

The Notice of Annual General Meeting ("AGM") will be published on the Company's website on or about 30 April
2026 for the fifty-ninth AGM of Grindrod to be held virtually at 14h00 on Thursday, 11 June 2026. An announcement
outlining the details and salient dates of the AGM will be released on SENS on or about 30 April 2026.
