RESULTS OF GENERAL MEETING


Shareholders are referred to the announcement released on the Stock Exchange News Service of the JSE on 11 March
2020 in respect of a general meeting convened to consider the category 1 related party transaction relating to the
proposed acquisition of 51% in aggregate of the issued share capital of UCP Holdings Proprietary Limited by The Reef
Group Proprietary Limited and Calibre Investment Holdings Proprietary Limited (“Proposed Transaction”).

Shareholders are advised that, at the general meeting of Unicorn shareholders held on Wednesday, 8 April 2020
(“General Meeting”), all of the resolutions tabled thereat were passed by the requisite majority of Unicorn
shareholders present at the General Meeting.

1. As a percentage of 1 167 564 491 Unicorn ordinary shares in issue as at the General Meeting voting record date,
   being Friday, 3 April 2020.
2. As a percentage of Unicorn ordinary shares voted per resolution at the General Meeting.
3. The Proposed Transaction constitutes a related party transaction which requires the approval of shareholders
   excluding related parties and their associates. Therefore 572 818 276 Unicorn ordinary shares held by the
   affected related parties and their associates were excluded from voting on these resolutions.

The total number of shares present/represented (including proxies) at the General Meeting issue was 1 009 280 684
representing 86.44% of the Unicorn ordinary shares in issue.
