AMENDMENT ANNOUNCEMENT REGARDING THE DECLARED INTERIM DIVIDEND ANNOUNCEMENT ON SHOPRITE
HOLDINGS LIMITED HOT ENHANCED DIVIDEND SECURITIES –“SHPIHH”


With reference to the Minister of Finance’s 2017 budget speech, the holders of SHPIHH are advised that the
dividend withholding tax has been increased from 15% to 20% effective as of 22 February 2017.

Accordingly, the Directors of Shoprite Holdings Limited have declared an interim dividend of 180 cents per
ordinary share payable on Monday, 20 March 2017, to ordinary shareholders and recorded in the books of the
company at the close of business on Friday, 17 March 2017.

In terms of the Dividend Tax effective 22 February 2017, the following additional information is disclosed:

1)         local dividend tax rate is 20%;
2)         net local dividend amount is 144 cents per share for shareholders liable to pay the new Dividends Tax
           and 180 cents per share for shareholders exempt from paying the new Dividends Tax; and
3)         the issued share capital of Shoprite Holdings Limited is 574 453 281 ordinary shares; and
4)         Shoprite Holdings tax reference number is 9775/112/71/8; and
5)         Investec Bank Limited tax reference number is 9675/053/71/5.

The holders of SHPIHH will receive a Shoprite Holdings Limited dividend amount per security on Monday, 20
March 2017, in terms of the Cession clause incorporated in the Supplement between the holders and Investec
Bank Limited. The last day to trade (“cum” the dividend) in order to participate in the dividend will be Tuesday, 14
March 2017.

SHPIHH Hot Enhanced Dividend Securities will commence trading “ex” the dividend from the commencement of
business on Wednesday, 15 March 2017, and the record date will be Friday, 17 March 2017.
