APPOINTMENT OF DEPUTY CHAIRMAN AND CHANGES TO THE COMPOSITION OF THE BOARD COMMITTEES
The board of directors of Rebosis (“the Board”) hereby notifies its shareholders of the appointment of a deputy
chairman and reconstitution of various of its board committees, effective 16 April 2021.
APPOINTMENT OF DEPUTY CHAIRMAN
Mr Kameel Keshav, the chair of the audit and risk committee and independent non-executive director has been
appointed as Deputy Chairman.
CHANGES TO THE COMPOSITION OF THE BOARD COMMITTEES
The composition of the Board and its committees has been structured to effectively perform its roles and
responsibilities. The new members bring technical skills in leadership, corporate governance, finance and real
estate. All committees constitute a majority of independent non-executive directors.
1. Composition of audit and risk committee
The audit and risk committee comprises Mr Kameel Keshav (chairman) and Messrs Shaun Naidoo, Mervyn
Burton and Ms Nomfundo Qangule as members.
2. Composition of remuneration committee
The remuneration committee comprises Mr Shaun Naidoo (chairman) and Messrs Kameel Keshav, Lloyd
Pengilly and Ms Nomfundo Qangule as members.
3. Composition of social & ethics committee
The social & ethics committee comprises Ms Nomfundo Qangule (chairman) and Ms Asathi Magwentshu,
Mr Zandile Kogo and Mr Lloyd Pengilly as members.
The Board congratulates these directors on their appointments and looks forward to their continued
contribution to the Company.
