APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR AND MEMBER OF BOARD COMMITTEES

In accordance with the JSE Listings Requirements, shareholders are advised that, with effect from 25 February 2026,
Mr Amos Mboweni has been appointed as an Independent Non-Executive Director of the Company. He has also been
appointed as Chairman of the Company's Audit Committee and as a member of the Company's Social and Ethics, Risk
Management and Remuneration Committees.

The board of directors of Nu-World ("Board") confirms that the requisite fit and proper assessment, in accordance with
the JSE Listings Requirements, has been conducted on Mr Mboweni. The Board is satisfied with the outcome thereof
and that Mr Mboweni meets all independence and governance criteria and is suitably qualified to serve in the roles to
which he has been appointed.

Mr Mboweni currently serves as General Manager: Real Estate at Eskom Holdings SOC Limited. Prior to this, he served
as Executive Director for Sustainable Human Settlements Development at the City of Tshwane Metropolitan
Municipality.

Mr Mboweni holds a Bachelor of Social Science, a Master of Business Administration (Executive Programme), and a
Master of Science in Global Central Banking and Financial Regulation from the University of Warwick. He is currently
pursuing a PhD in Corporate Governance at the University of the Witwatersrand.

The Board welcomes Mr Mboweni and looks forward to his contribution to the Company and its governance and
oversight structures.
